BY-LAWS OF THE CROSSROADS QUILT GUILD

ARTICLE I : NAME

The Name of this guild is Cross Roads Quilt Guild, and will be hereinafter referred to as the Guild.

ARTICLE II: PURPOSE

It shall be the purpose of this guild to encourage a wider appreciation of Quilting. To raise or maintain standards of design and individual ideas and expression. Keep interest alive by promotion local quilt projects, programs and doing charitable works.

ARTICLE III : MEMBERSHIP

The Guild shall consist of individual memberships. Individuals interested in quilting shall be eligible to become members of this Guild. Dues for such members shall be set by the membership.

ARTICLE IV: OFFICERS

SECTION 1) Officers of the Guild consist of President, Vice President, Recording Secretary and Treasurer. The President will serve a term of 2 years.

SECTION 2) No Officer or Committee Chairperson shall serve more than three consecutive years in the same office. Rotation in office makes it possible to bring new personnel into leadership posts and to give a new approach to the activities and interests of the organization. After the lapse of one term, he/she may be elected again to the same office.

SECTION 3) Duties of Officers are as follows:

PRESIDENT: The President shall preside at all meetings of the Guild and shall have general supervision over the officers of the Guild. The president has no vote except to break a tie.

VICE PRESIDENT: The Vice President shall, in the absence of the President, perform the duties of the President and other duties assigned to her/him by the President.

RECORDING SECRETARY: The Secretary shall perform the usual duties associated with this office and such other duties as may be assigned to her/him by the President.

TREASURER: The Treasurer shall perform the usual duties associated with this office and such other duties as may be assigned to her/him by the President.

COMMITTEES: The duties of the committees shall be to conduct such business of the Guild as may arise during the period between meetings of the Guild, to report actions by it to the membership at its next meeting for approval. To formulate policies and make recommendations to the Guild.


ARTICLE V: MEETINGS

Meetings will be held every third Monday of each month. A simple majority of the members present
shall constitute a quorum.

ARTICLE VI: COMMITTEES

The President, with the approval of the membership, may appoint any committee member she/he
deems necessary and shall appoint a chairperson of that committee.

ARTICLE VII: RULES OF ORDER

The rules contained in Robert's Rules of Order shall govern the Guild in all cases to which they
apply and in which they are not inconsistent with the by-laws.

ARTICLE VIII: AMENDMENTS

The by-laws of the Guild may be amended or revised by the membership at any time by the
affirmative vote of at least two-thirds of the members present at any regular or special meeting, provided that the notice of any such meetings contains a summary of the proposed amendment or amendments.

ARTICLE IX: DISSOLUTION

Upon dissolution of the organization, the officers of the Guild shall, after paying or making
provisions for the payment of all of the liabilities of the organization, dispose of all of the assets of
the organization in such a manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as
an exempt organization or organizations under Section 501C(3) of the Internal Revenue Code of
1954 or the corresponding provision of any future United States Internal Revenue Law as the
officers of the Guild shall determine.


STANDING RULES

1. Dues are due on January 1, with one month's grace period allowed. The membership year shall run from January 1 to December 31. Any member not having dues paid by February 1
will be dropped from membership. Dues paid by "new members" from January 1 through
June 30 are $15.00. Dues paid by "new members" from July 1 through December 31 are $7.50.

Dues for "past members" either paying late or rejoining, will be $15.00.

2. Any member who has been a member for 20 consecutive years would become a Lifetime
Member. Any member who has been a member for five consecutive years and is over the
age of 65 would become a Lifetime Member.

3. Officers shall be chosen by a simple majority of the membership of the Guild at the general
meeting in December. Officers will terminate their duties at the end of the January meeting.

4. The Treasurer shall make a yearly report of the budget figures and expenditures to the Board
of Directors to help determine the next year's budget.

5. The Treasurer's books shall be audited every two years or at the change of an officer. An
Audit Committee of three people shall be appointed when needed.

6. Members who sell items at any Guild activities will be charged 10% of the sale price. Nonmembers will be charged 20%. If a quilt or quilted item is sold because of publicity drawn through a Guild activity, a 10% commission must be paid to the Guild, as well as sales tax.

GENERAL INFORMATION
CROSS ROADS QUILT GUILD

The Cross Roads Quilt Guild is a non-profit organization whose purpose is to promote quilting
through monthly meetings and civic projects. The group has a growing membership and many of
our members are charter members who organized the Guild in 2003. New members are always
welcome! We encourage you to join us as we help each other refine our skills and ideas.

We are people who are continuing this age-old tradition of quilting begun by our sisters over three centuries ago.

Our monthly meetings are held the third Monday of each month at the Senior Citizens Center in Stockton. Fellowship time begins at 7:00 p.m. and the meeting begins at 7:30 p.m.

Work days are also held at the Senior Citizens Center in Stockton and at a location in Plainville.
These work days are times to get acquainted, learn new techniques, exchange ideas and work on individual projects or projects as a group. Work days usually begin around 9:00 a.m. and last
until 4:00 p.m. or so. Members come and go as their schedules permit.

Newsletter: The Guild provides a monthly newsletter to its members. This newsletter can be received by mail or viewed on our website at www.crossroadquilters.org.

Show and Share: Members share their awe-inspiring work and tell the story behind each quilt at the monthly meetings.

Block of the Month: Each month members who want to participate make a block. The pattern for the block is printed in the monthly newsletter.

Rooks County Fair: In August, our Guild is asked to have an exhibit at the County Fair. We display quilts or other items and take them down at the end of the fair. We are allowed to sell tickets on a
raffle quilt.
